Terms of Service

1. Acceptance of Terms

These Terms of Service (“Terms”) govern your use of V-Rail, a B2B sales intelligence platform operated by Wavies Technology Consulting(“V-Rail”, “we”, “us”) at vrail.io (the “Service”). By submitting payment, creating an account, or otherwise using the Service, you (“you”, “the Customer”) agree to these Terms. If you do not agree, do not use the Service.

2. Service Description

V-Rail analyzes a business URL you submit, derives a best-fit buyer profile via reverse inference, scores prospect companies across five axes (company match, buying capacity, buying timing, contact path, deal size fit), and produces deliverables consistent with the SKU you purchased. Results are delivered to your authenticated portal account.

V-Rail is not a data broker. We do not sell, license, or redistribute contact databases. Contact data surfaced through the Service is sourced from licensed third-party providers (see /privacy) and made available to authenticated Customers solely for direct one-to-one business outreach. Bulk export of contact records is not a feature.

3. Service Catalog and Pricing

V-Rail offers the following SKUs as of 2026-05-18. All pricing in US dollars; one-time purchase; no recurring charges; no subscription; no expiring balances.

A. Free tier — no account or payment required

These are not catalogue SKUs and carry no charge.

B. Balance top-up packs (purchased directly; funds the balance that in-product actions draw from)

D. In-product actions (charged from your balance at the moment you confirm the action; authenticated account required)

  • FullAnalysisReport (f3) — $497.00 per report (MBB-grade PPTX deliverable)

E. Future SKUs (not currently available for purchase as of 2026-05-18; pricing listed for transparency; activation announced via /terms amendment with 30 days’ notice)

  • Signal Scan (g1) — $39.00 per scan
  • Sales Enablement Pack (g2) — $149.00 per pack

Payment methods accepted: Card (via PayPal) and Bank Transfer (via Airwallex). Bank transfer is asynchronous and confirmed within 1–3 business days; analysis begins upon payment confirmation.

How the price of an action is determined. Top-up packs in Section B and the bundle in Section C are charged at the price shown on the purchase screen at the time of purchase. In-product actions in Section D are not invoiced separately: each one draws its listed price down from your existing balance. The price of an action is the amount shown to you on the confirmation control immediately before you confirm it, and that displayed amount is the amount charged. Where an action delivers less than the tier you were charged for, the difference is refunded to your balance automatically. Your balance and every individual charge are itemised in your account.

V-Rail reserves the right to update pricing prospectively with at least 30 days’ notice via email to active customers and a material-change note on /terms. Pricing changes do not retroactively affect already-purchased SKUs. Activation of Section E SKUs requires a /terms amendment notice but not a new agreement.

4. Order Process and Immediate Performance Consent

By submitting payment via the V-Rail checkout form, you expressly consent that V-Rail will begin analysis of your submitted URL and description immediately upon payment confirmation. You acknowledge that this consent waives the 14-day cooling-off period otherwise available under:

  • (a) European Union Consumer Rights Directive 2011/83/EU Article 16(m), for consumers in the European Union and European Economic Area;
  • (b) United Kingdom Consumer Contracts (Information, Cancellation and Additional Charges) Regulations 2013, for consumers in the United Kingdom;
  • (c) Republic of Korea Act on the Consumer Protection in Electronic Commerce Article 17(2), for consumers in the Republic of Korea.

This waiver applies only to the cooling-off / withdrawal right. It does NOT waive your right to a refund under V-Rail’s Refund-on-Failure policy (see Section 5 and the dedicated /refund page), nor any other statutory consumer protection right not specifically listed above.

The Free Tier SKUs (Free Analysis (a1) and Free Lead Preview (d1)) function as the trial sample referenced in Republic of Korea Act on the Consumer Protection in Electronic Commerce Article 17(6) — they allow you to evaluate V-Rail’s analysis quality before committing to a paid SKU.

Your consent is captured at checkout via an explicit checkbox; we retain a record of your consent for the duration required by applicable law.

5. Refund-on-Failure Policy

V-Rail offers a 30-day Refund-on-Failure guarantee. If our delivered analysis fails to match the SKU specification (for example: FullAnalysisReport delivered without the required PPTX structure; ABM analysis missing required components; non-delivery within published SLA; technical failure causing data loss), or if the analysis is factually at odds with the records you supplied, you may request a refund within 30 days of analysis delivery. This window is stated independently of any payment processor’s buyer-protection program.

A factual mismatch means the analysis asserts a figure, count, or classification that your own submitted export contradicts. It is distinct from an interpretation disagreement, which is not covered.

Refunds are assessed per item, not per pack: unused credits are refundable, and a delivered deliverable is refunded for the specific item shown to contain the error.

Refund-on-Failure does NOT cover: buyer’s remorse, customer-side product or targeting strategy change post-delivery, interpretation disagreement when the analysis follows the spec (best-fit buyer scoring is probabilistic by nature), customer-supplied data quality issues, partial-use objections after the analysis has been delivered and reviewed in full, or business outcomes — V-Rail does not guarantee that acting on an analysis produces any particular business result.

6. Customer Obligations

You agree to use the Service only for lawful business purposes and in compliance with all applicable laws. You may not:

  • Submit URLs you do not have the right to analyze, or competitor URLs for unauthorized scraping purposes.
  • Use contact data surfaced by V-Rail to send spam, unsolicited bulk email, or automated mass outreach without a valid legal basis (GDPR Art 6(1)(f) Legitimate Interest, consent, or other applicable ground).
  • Attempt to extract, scrape, or systematically download contact data from the platform.
  • Compile, resell, or license the contact data surfaced by V-Rail to any third party.
  • Use deceptive sender information, false “Re:” or “Fwd:” prefixes, or misleading subject lines in outreach based on V-Rail data.
  • Harass, threaten, or abuse contacts whose information is surfaced by the Service.
  • Violate CAN-SPAM, GDPR, CASL, PIPA, or other applicable outreach regulations in the recipient’s jurisdiction.
  • Circumvent, disable, or interfere with security or rate-limiting features of the Service.
  • Resell access, share accounts, or use the Service to build a competing product.

You are responsible for establishing a valid legal basis before contacting any individual whose information is surfaced by the Service, honoring opt-out requests promptly, and including required compliance elements (physical address, unsubscribe mechanism) in all outreach.

7. V-Rail Obligations

V-Rail will deliver the analysis you purchased within a target turnaround of 24–72 hours from payment confirmation. This is a target, not a measured median: we do not currently publish turnaround statistics, and we would rather say so than point you at a page that does not exist. Delivery is notified by email to the address you provided at checkout.

V-Rail does not guarantee the accuracy, completeness, currency, or fitness of results for any particular purpose. Contact information (emails, phone numbers, titles) may be outdated. Best-fit buyer scores and grade classifications are probabilistic estimates — not verified assessments. AI-generated outreach copy may require review and editing before use.

You are responsible for verifying information before relying on it for business decisions or outreach. The Customer remains the final decision-maker (see also /privacy §7).

Retention and re-access of purchased deliverables. V-Rail does not impose an expiry window on deliverables you have paid for. Analyses, outreach copy, and reports purchased by you remain available in your account for re-download for as long as the account exists. Contact records are never deleted. Because people change roles, V-Rail treats a contact record older than six (6) months as stale and will prompt you to re-verify it before reuse rather than remove it. Stated plainly: this re-verification prompt is a commitment we hold ourselves to, not yet an automated background job. Every contact record carries the timestamp of the moment its address was checked, so its age is never a mystery. Nothing in this clause obliges V-Rail to preserve deliverables after account closure, or to retain data you have asked us to erase under /privacy §7.

8. Data and Privacy

How V-Rail collects, processes, retains, and shares data is documented in our Privacy Policy. In summary: submitted URLs and descriptions are analyzed by V-Rail systems and not resold or shared with third parties except as needed for analysis delivery (Crustdata enrichment under signed DPA, payment providers PayPal / Airwallex). Data retention tiers (90 days / 1 year / 5–7 years per data type) are specified in /privacy §4.

9. Intellectual Property

V-Rail retains all rights, title, and interest in the V-Rail platform, including software, algorithms, scoring models, prompt templates, and underlying methodology.

You retain ownership of data you submit (your URL, your description, your customer lists if applicable). The output deliverables generated for your account (lead lists, copy, reports, scoring outputs) are licensed to you for internal business use. You grant V-Rail a limited license to process your submitted data solely to deliver the purchased SKU.

10. Limitation of Liability

To the maximum extent permitted by applicable law:

(a) V-Rail’s aggregate liability arising out of or relating to these Terms, the Service, or any SKU purchased by the Customer is capped at the greater of:

  • (i) the amount paid by the Customer for the specific SKU giving rise to the claim; or
  • (ii) the highest single-SKU amount paid by the Customer to V-Rail in the twelve (12) months immediately preceding the event giving rise to the claim.

(b) The cap in subsection (a) applies per incident. Multiple claims arising from the same underlying event or series of related events count as a single incident.

(c) V-Rail is not liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, including but not limited to loss of profits, loss of revenue, loss of business opportunity, loss of goodwill, or loss of data, even if V-Rail has been advised of the possibility of such damages.

(d) Nothing in this Section 10 limits or excludes liability that cannot be limited or excluded under applicable consumer protection law, including (without limitation) statutory rights of consumers in the European Union, European Economic Area, United Kingdom, and Republic of Korea.

(e) The Refund-on-Failure policy described in Section 5 and the /refund page operates independently of this Section 10. A successful Refund-on-Failure claim is not subject to the cap in subsection (a) — the Customer receives the full refund amount for the affected SKU.

11. Termination

You may stop using the Service at any time. Because all SKUs are one-time purchases with no subscription, there is no recurring obligation to terminate. You may request account deletion under your Right to Erasure (see /privacy §7); accounts are permanently erased within 30 days of receipt of an Erasure request, subject to a 30-day soft-delete grace period and statutory retention exceptions (see /privacy §4).

V-Rail may suspend or terminate access immediately for violation of these Terms, particularly Customer Obligations (Section 6) violations or fraudulent payment activity. Sections 9, 10, and 12 survive termination.

12. Governing Law and Disputes

These Terms are governed by the laws of the Republic of Korea. Disputes arising from these Terms are submitted initially to the Seoul Central District Court, except where the Customer is a consumer in a jurisdiction with mandatory consumer protection forum rights (including but not limited to European Union member states, the United Kingdom, and the European Economic Area), in which case the consumer’s local consumer court applies.

14. Changes to Terms

We may update these Terms at any time. Material changes are notified by email to active customers and by posting an updated effective date on /terms. Continued use after changes take effect constitutes acceptance of the updated Terms. Terms version effective 2026-05-18.
